Terms of Use

The agreement governing access to and use of DI Gateway, operated by UniVenture Solutions.

These Terms of Use (Terms) govern access to and use of DI Gateway, including the public website at digateway.pk, user accounts, support channels, and the DI Gateway FBR Digital Invoicing service (together, the Service). The Service is operated by UniVenture Solutions (SMC Private Limited) (UniVenture, we, us, or our).

By creating an account, accepting an order or service arrangement referencing these Terms, or using the Service, you agree to these Terms. If you use the Service for an organization, you confirm that you have authority to bind that organization, and you includes that organization.

1. Eligibility and authority

You must be legally capable of entering into a binding agreement and authorized to act for each organization or taxpayer workspace you access. The Service is intended for business use. You must provide accurate registration information and keep account and organization details current.

2. The Service

DI Gateway is independent software for preparing, validating, transmitting, and tracking digital sales invoices in connection with FBR Digital Invoicing. Available features may include organization and company setup, customers, items, tax information, invoice preparation, environment-specific validation and submission, FBR responses, retry guidance, and activity history.

Features may be introduced in stages and may differ between Sandbox, Production, account type, onboarding status, or an agreed service scope. A feature described as planned, beta, preview, Sandbox-only, or subject to activation is not a commitment that it is generally available.

DI Gateway is not affiliated with, endorsed by, sponsored by, or an official product of Pakistan's Federal Board of Revenue (FBR) or the Government of Pakistan.

3. Accounts and security

You are responsible for:

  • protecting passwords, sessions, FBR tokens, recovery methods, and devices;
  • ensuring that only authorized personnel access your organization or taxpayer workspace;
  • promptly removing access when a person is no longer authorized;
  • reviewing account activity and notifying us promptly of suspected unauthorized access; and
  • all actions taken through your account unless caused by our breach of these Terms or failure to apply reasonable safeguards.

You must not share FBR credentials through public forms, ordinary email, or channels we have not designated for secure credential exchange. We may require identity, organization, or authorization checks before enabling sensitive features or responding to account-control requests.

4. Your business and invoice data

You retain ownership of information you or your authorized users submit to the Service (Customer Data). You grant UniVenture a limited right to host, copy, process, transmit, display, and otherwise use Customer Data only as reasonably required to provide, secure, support, and improve the Service; comply with authorized instructions; and meet legal obligations.

You represent that you have the authority and lawful basis needed to provide Customer Data, including customer, buyer, employee, taxpayer, CNIC, NTN, item, price, tax, and invoice information. You are responsible for the accuracy, completeness, classification, and legality of Customer Data and for providing any notices or obtaining any permissions required from affected persons.

5. FBR submissions and your responsibilities

You are responsible for reviewing each invoice, taxpayer detail, tax treatment, HS Code, UOM, rate, scenario, price, and recipient detail before validation or submission. A validation result is not a substitute for professional tax or legal review and does not guarantee that FBR will accept an invoice or that a transaction is legally or factually correct.

When an authorized user instructs the Service to validate or submit an invoice, you authorize UniVenture to transmit the required information to the selected FBR environment and receive the resulting response. FBR controls its systems, tokens, reference data, validation rules, response times, outages, rejections, and Production activation. We are not responsible for FBR decisions or for failures outside our reasonable control.

Sandbox results are test results and must not be represented as Production submissions. Production use remains subject to the required FBR credentials, qualification, activation, current law, and any account-level controls applied by the Service.

You remain responsible for your tax, accounting, record-keeping, invoice-issuance, and regulatory obligations. DI Gateway is a software tool and does not act as your accountant, tax adviser, lawyer, or government representative.

6. Acceptable use

You must not:

  • use the Service unlawfully, fraudulently, or to submit false, misleading, unauthorized, or fabricated invoices;
  • access or attempt to access another organization's data, credentials, workspace, or account;
  • interfere with security, authentication, rate limits, availability, logging, or technical restrictions;
  • probe, scan, reverse engineer, copy, scrape, or test the Service except to the limited extent such restriction is prohibited by applicable law or we authorize the activity in writing;
  • upload malicious code or content that infringes another person's rights;
  • use the Service to send unsolicited communications or process data unrelated to legitimate business invoicing;
  • resell, sublicense, or provide the Service as a bureau service unless an agreed plan or written authorization permits it; or
  • use FBR names, responses, references, or Service output to imply government endorsement.

We may investigate suspected misuse and may limit or suspend access where reasonably necessary to protect users, data, FBR connectivity, or the Service.

7. Fees and paid services

Creating a public account does not authorize us to charge you unless a price, order, plan, or other commercial arrangement is presented and accepted. If you select a paid service, the applicable fees, taxes, billing period, payment terms, renewal terms, cancellation treatment, and any refund rules will be shown in the order, plan, invoice, or separate agreement.

Unless required by law or stated in an accepted commercial arrangement, fees already earned for a completed period or delivered service are non-refundable. We will not introduce a recurring charge without clear notice and agreement.

8. Support and service availability

Support is available through support@digateway.pk and any in-product channel we publish. Standard support hours are Monday to Friday, 9:00 a.m. to 5:00 p.m. Pakistan Standard Time (PKT, UTC+5), excluding public holidays in Pakistan. We aim to acknowledge requests received during those hours within 30 minutes. A request received outside support hours is queued for the next support period. This is an acknowledgement target, not a guaranteed resolution time and not a service-level agreement unless a separate signed agreement states otherwise. Security incidents and complete service outages may be prioritized over ordinary enquiries.

We work to provide a reliable Service, but uninterrupted or error-free availability is not guaranteed. Maintenance, security response, internet or infrastructure failure, FBR downtime, government-system changes, and events outside our reasonable control may affect availability. Where practical, we will provide notice of planned material maintenance.

9. Intellectual property

UniVenture and its licensors retain all rights in the Service, software, documentation, designs, branding, and materials other than Customer Data. These Terms grant only a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during the applicable account or service period.

If you provide suggestions or feedback, you permit us to use them without restriction or payment, but we will not identify you publicly as the source without permission.

You may not use the DI Gateway name, logo, or materials in a way that suggests partnership, endorsement, or ownership. References to FBR remain subject to applicable law and FBR's own rights.

10. Confidentiality

Each party must use reasonable care to protect non-public information disclosed by the other party and use it only for the Service relationship. Confidential information does not include information that is lawfully public, already known without restriction, independently developed, or lawfully obtained from another source. Disclosure required by law is permitted, where legally allowed after reasonable notice to the affected party.

11. Third-party and government services

The Service may interoperate with FBR systems and infrastructure, communications, security, or support providers. Those independent services may be governed by separate terms and policies. We are not responsible for an independent third party's decisions, content, availability, or changes, but we remain responsible for selecting and managing our own service providers with reasonable care.

12. Suspension and termination

You may stop using the Service at any time and may request account closure through support. Any paid-plan cancellation terms will be stated in the applicable commercial arrangement.

We may suspend or terminate access if you materially breach these Terms, fail to pay an agreed undisputed amount, create a security or legal risk, misuse FBR connectivity, or if continued service becomes unlawful or technically impracticable. Where reasonable, we will provide notice and an opportunity to correct the issue. We may act immediately where necessary to protect data, users, systems, or legal compliance.

Before closure, you should export records you are entitled or required to retain. After termination, we may delete Customer Data following the Privacy Policy, backup rotation, applicable law, legal holds, and any agreed export period. Sections that by their nature should continue—including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, and dispute provisions—survive termination.

13. Disclaimers

To the fullest extent permitted by applicable law, the Service is provided on an as available basis. We do not warrant that the Service will be uninterrupted, that every error will be corrected, that FBR will accept any invoice, that any token will be issued or remain valid, or that use of the Service alone satisfies every tax, accounting, or legal obligation.

Nothing in these Terms excludes an express written commitment in a separately signed agreement or a right that cannot lawfully be excluded. No statement on the public website creates a guarantee unless it is expressly included in an accepted written service arrangement.

14. Limitation of liability

To the fullest extent permitted by applicable law, neither party will be liable for indirect, incidental, special, punitive, or consequential loss, or for loss of profit, revenue, goodwill, or anticipated savings, arising from the Service, even if advised that such loss was possible.

UniVenture's total aggregate liability arising from the Service will not exceed the fees paid or payable by you for the affected Service during the twelve months immediately before the event giving rise to the claim. This limit does not apply to fraud, wilful misconduct, or liability that cannot lawfully be limited. Any separate signed agreement may state a different liability allocation.

Because applicable law may not allow particular limitations, a limitation applies only to the extent legally permitted.

15. Indemnity

To the extent permitted by law, you will defend and indemnify UniVenture against a third-party claim arising from your unlawful or unauthorized Customer Data, fraudulent invoice activity, material breach of the acceptable-use requirements, or infringement caused by content you provide. This obligation does not apply to the extent a claim was caused by UniVenture's breach, negligence, or wilful misconduct. We will provide reasonable notice and cooperation and will not settle a covered claim in a way that admits your wrongdoing or imposes a non-monetary obligation on you without consent.

16. Changes

We may update these Terms to reflect Service, legal, security, or operational changes. The updated version will show a new effective or last-updated date. Where a change materially reduces existing users' rights, we will provide reasonable advance notice when practicable. Changes required immediately for law, security, FBR connectivity, or abuse prevention may take effect sooner.

Continued use after the effective date constitutes acceptance of the updated Terms. If you do not accept a material update, you may stop using the Service and request closure, subject to outstanding obligations.

17. Governing law and disputes

These Terms are governed by the laws of Pakistan, without regard to conflict-of-law principles. The parties will first attempt in good faith to resolve a dispute through written notice and reasonable discussion. If it is not resolved, either party may bring proceedings before a court of competent jurisdiction in Pakistan.

Nothing prevents either party from seeking urgent protective or injunctive relief where necessary to protect accounts, confidential information, intellectual property, or systems.

18. General terms

Neither party is responsible for delay caused by events beyond reasonable control, including natural disaster, widespread infrastructure or internet failure, government action, FBR-system interruption, conflict, or labor disruption, provided the affected party takes reasonable steps to reduce the impact.

You may not assign these Terms without our written consent, except as part of a genuine transfer of substantially all relevant business assets with written notice. We may assign these Terms as part of a reorganization, financing, merger, or transfer of the Service, subject to continued protection of Customer Data.

If a provision is unenforceable, it will be limited to the minimum extent necessary and the remaining provisions continue. Failure to enforce a provision is not a waiver. Headings are for convenience. These Terms, the Privacy Policy, an accepted order or plan, and any signed service agreement form the agreement for the Service. A signed agreement controls to the extent of a direct conflict, followed by an accepted order or plan, these Terms, and the Privacy Policy.
